Organization Charter
Preamble
The Association is founded on a commitment to the free democratic constitutional order of the Federal Republic of Germany. It firmly opposes all forms of extremism. Membership is open only to individuals who acknowledge and support these fundamental principles.
§ 1 Name, Registered Office and Financial Year
- The Association shall bear the name “Ukrainische Kameraden”. Upon registration in the Register of Associations, it shall use the suffix “e.V.”.
- The registered office of the Association is Hamburg, Germany.
- The financial year of the Association shall be the calendar year.
§ 2 Purpose of the Association
(1) The purposes of the Association are:
- to support victims of war, surviving family members of war victims, and persons injured or disabled as a result of war;
- to promote the welfare and support of military personnel and reservists;
- to provide targeted financial and material assistance to individuals in need, as well as to hospitals and social institutions;
- to establish national and international cooperation and, where appropriate, open representative offices abroad.
(2) The statutory purposes shall be achieved in particular through:
- establishing, promoting and supporting local self-help groups;
- public relations and media activities representing the interests of Ukrainian veterans and war victims in Germany;
- providing guidance to Ukrainian veterans, war victims and their families in dealing with public authorities and institutions;
- facilitating access to legal, social and psychological support services, as well as assistance with labour market integration;
- operating a community centre for Ukrainian veterans, war victims and their families to encourage mutual support, social interaction, leisure activities and dialogue with German society.
- The Association pursues exclusively and directly charitable and benevolent purposes within the meaning of the German Fiscal Code provisions governing tax-privileged organisations.
- The Association operates on a non-profit basis and does not primarily pursue its own economic interests.
- The Association’s funds may only be used for its statutory purposes. Members shall not receive any distributions from the Association’s assets, except for reimbursement of documented expenses and legally permitted volunteer allowances.
- No individual may benefit from expenditures unrelated to the Association’s objectives or from disproportionate remuneration.
- Any adult natural or legal person supporting the objectives of the Association may become a member. Membership requires a written application. The Executive Board makes the final decision on admission. By joining, the member accepts these Articles of Association.
- Persons who are members or supporters of extremist, racist, antisemitic, xenophobic or other discriminatory organisations are not eligible for membership.
- The Association consists of:
- Full Members;
- Supporting Members.
- Full Members actively participate in achieving the Association’s objectives. Admission requires a written recommendation from at least one existing member. The Executive Board decides by a two-thirds majority.
- Supporting Members contribute to the Association financially or in another appropriate manner. They have neither voting rights nor the right to stand for election.
- The General Assembly may appoint Honorary Members in recognition of outstanding service to the Association. Honorary Members have no voting rights unless they are also Full Members.
- Membership ends upon death, loss of civil rights, voluntary resignation, expulsion, or—in the case of legal entities—loss of legal capacity.
- Resignation must be submitted in writing to the Executive Board at least three months before the end of the calendar year. Decisions on expulsion are made by the Executive Board.
- A member may be expelled for serious violations of the Articles of Association or the interests of the Association, including participation in extremist, racist, antisemitic or other discriminatory activities.
- Before expulsion, the member must be given the opportunity to present their position. During the expulsion procedure, membership rights are suspended.
- A member may be removed from the membership register if membership fees remain unpaid for at least one year and are not settled within three months after a formal reminder.

§ 6 Membership Fees
- Members shall pay membership fees. The amount of the annual fee shall be determined by the General Assembly.
- For the year of admission, membership fees shall be calculated proportionally. The annual fee is payable by 10 January each year.
- Honorary Members and Honorary Chairpersons are exempt from paying membership fees.
- In cases of financial hardship, the Executive Board may fully or partially exempt a member from paying membership fees upon written request.
§ 7 Governing Bodies
The governing bodies of the Association are:
- the Executive Board;
- the General Assembly.
§ 8 Executive Board
- The Executive Board consists of the Chairperson, the Deputy Chairperson and the Secretary.
- A Treasurer shall also be elected. The Treasurer is not a member of the Executive Board. The Treasurer acts in accordance with the Board’s instructions, reports regularly to the Board and operates within the scope of the powers granted.
- The Executive Board and the Treasurer are elected by the General Assembly for a term of three years. Re-election is permitted. They remain in office until their successors are elected.
§ 9 Responsibilities of the Executive Board
- The Executive Board manages the Association and is responsible for all matters not assigned to another governing body. Its duties include:
- preparing General Assembly meetings and their agendas;
- convening the General Assembly;
- implementing resolutions adopted by the General Assembly;
- managing the Association’s assets and finances;
- preparing the annual activity and financial reports;
- deciding on the admission and expulsion of members.
- Within the meaning of Section 26 of the German Civil Code (BGB), the Association is represented by the Chairperson, the Deputy Chairperson and the Secretary, who act on behalf of the Association in judicial and extrajudicial matters.
- Meetings of the Executive Board shall be held at least twice a year.
- The General Assembly may appoint a former Chairperson as Honorary Chairperson. Honorary Chairpersons may attend Board meetings and participate in discussions but have no voting rights.
- The Executive Board may adopt its own Rules of Procedure.
§ 10 Financial Audit
- The resources required to achieve the Association’s objectives shall primarily be obtained from membership fees, donations, and public or private grants.
- All financial transactions shall be properly recorded. Annual financial statements shall be prepared for each financial year. Payments may only be made upon authorization by the Executive Board.
- The annual financial statements shall be audited by an Auditor elected by the General Assembly for a three-year term. The audit report shall be submitted to the General Assembly for approval.
§ 11 General Assembly
- The General Assembly is responsible in particular for:
- receiving the reports of the Executive Board;
- determining the amount of membership fees;
- electing and dismissing the Executive Board, the Treasurer and the Auditor;
- granting discharge to the Executive Board;
- adopting amendments to the Articles of Association and deciding on the dissolution of the Association.
- The ordinary General Assembly shall be held at least once each calendar year. Extraordinary meetings shall be convened whenever required by the interests of the Association or upon written request of at least one-third of the members.
- The Executive Board shall convene the General Assembly by giving at least four weeks’ notice together with the proposed agenda.
- Members may submit written proposals for additional agenda items no later than one week before the meeting.
§ 12 Resolutions of the General Assembly
- The General Assembly shall be chaired by the Chairperson or, in their absence, by the Deputy Chairperson.
- Full Members have voting rights. Any properly convened General Assembly shall constitute a quorum.
- Unless otherwise provided by these Articles, resolutions shall be adopted by a simple majority of votes cast. Amendments to the Articles require a two-thirds majority.
- The Chairperson of the meeting shall determine the voting procedure. A secret ballot shall be held if requested by the Assembly.
- Minutes shall be prepared for every General Assembly meeting.
- The Executive Board may allow members to participate and vote electronically.
- Where permitted by law, resolutions may also be adopted without holding a physical meeting through written or electronic voting procedures.
§ 13 Dissolution of the Association
- The dissolution of the Association may be decided by the acting Executive Board. All members shall be informed of this decision in writing.
- In the event of the dissolution of the Association or the loss of its tax-privileged status, all remaining assets shall be transferred to “Feine Ukraine” e.V., Hamburg, which must use them exclusively and directly for charitable purposes.
